Capital Markets: We have represented several clients in debt and equity issuances, as well as placement agents involved in distributing such securities and instruments. Our firm has played a prominent role in transactions such as IPOs, tender offers and securities issuances adapted to the changing needs of domestic and foreign markets, including complex issuances of debt securities, stocks and securitized bonds. In addition, our firm regularly advises major players in local and foreign financial markets–banks, stockbrokers, securities agents, investment funds managers, commodities brokers and securitization companies–assisting them with their regulatory needs, administrative proceedings with capital markets regulators and legal defense involving exchange, derivatives and capital market transactions.
Corporate and M&A: We have extensive experience counseling companies on corporate matters. In addition to their in-depth knowledge of laws and business practice in Chile, topics on which they lecture at local universities, our partners also have vast practical experience and an international reputation for advising on transactions of this nature, including local and cross-border mergers and acquisitions.
Investment Funds: We have broad experience in the formation and incorporation of mutual funds, redeemable and irredeemable public investment funds, and private investment funds. We regularly advise general fund management companies and private investment fund managers on regulatory, contract and legal matters. Similarly, they have been organizers of irredeemable real estate, energy, securitized, real estate income and venture capital investment funds. We also have extensive experience advising foreign investment funds on their legal needs in Chile, including obtaining approval from the Risk Rating Commission so that local institutional investors can invest in them and registering at the Chilean Superintendence of Securities and Insurance so they can be publicly offered in Chile.

Tax: Our team permanently advises local and international clients, both in personal and corporate taxes. Our tax group is formed by an interdisciplinary team, with vast experience in tax structuring and reorganization, corporate and financing operations, legal advice on taxation of financial instruments both domestic and foreign, double taxation, among others. In addition, our team has extensive experience in actions and audits before the Chilean Internal Revenue Service and before the courts of justice.
Banking and Finance: We regularly advise clients on matters of banking law and financing transactions, providing regular counsel to several banks on banking law and regulations and have taken part in complex financing deals.
Structured Financings, Bonds and Securitization: Our firm are leading providers of complex legal counsel for structured financings, bond and securitization deals. Our experience in securitization matters includes placements of more than 40 securitized debt securities, including the packaging of collateralized debt obligations by a foreign investment bank. On the local bond market, our attorneys have been in charge of the legal aspects of several bond issuances and placements and have participated in the issuance of numerous bonds on international markets.

Real Estate

We have extensive experience in real estate law, advising our clients from the planning stage through the full execution of their projects, whether involving rural or urban developments for residential, commercial, mixed-use, hotel, infrastructure, or industrial purposes, with a special emphasis on tax planning and project financing. Additionally, at Ried Fabres we specialize in urban planning matters, including the processing of mergers, subdivisions, land developments, co‑ownership regimes, and special sectoral permits for rural‑area projects. Finally, Ried Fabres has broad experience advising construction companies on real estate projects of all kinds, including social housing.

Agro-industry

At Ried Fabres, we have extensive experience advising clients in all areas of the agro‑industry, including livestock, dairy production, fruit growing, exporters, fruit processors, seed producers, trade associations, agricultural and dairy cooperatives, and forestry companies. Our advisory services in these matters include the acquisition of agricultural assets, water rights, production operations, as well as the drafting of all types of contracts, including corporate, labor, tax, environmental, and financial matters.

Aquaculture

We provide ongoing legal counsel to salmon farming companies, mussel producers, shipping and port operators, industry associations, suppliers, and other stakeholders in the aquaculture sector across the full range of legal matters related to their operations and projects.

Our experience encompasses regulatory, environmental, and contractual matters, including aquaculture concessions, sector-specific permits, coastal zone use, easements, asset acquisitions and financing, regulatory compliance, and dealings with governmental authorities. We also represent clients in administrative proceedings, litigation, and dispute resolution.

Compliance and Prevention of Money Laundering: We advise our clients on compliance matters, with a particular focus on corporate criminal liability and regulatory compliance. Our services include the design, implementation, and review of crime prevention models, risk identification and management, preparation of internal policies and protocols, and team training. We focus on delivering tailored solutions for each organization, integrating compliance into their daily operations to mitigate legal contingencies, strengthen corporate governance, and protect their reputation.

Public Law

We provide specialized advice in public, administrative, and regulatory law. We represent clients in administrative proceedings, sanctioning processes—including those before the Financial Market Commission (CMF) and the Financial Analysis Unit (UAF)—and litigation, as well as in matters related to public procurement, proceedings before the Internal Revenue Service (SII), concessions, and regulated projects.

We support our clients in their interactions with authorities and supervisory bodies, anticipating risks and managing contingencies in highly regulated environments.

Derivatives and Other Financial Contracts

We have vast experience negotiating and structuring local and foreign derivatives contracts, exchange (simultáneas) and OTC (repos) agreements and transactions entered into under derivative master agreements or repos. Similarly, we have in-depth knowledge of recent regulation applicable to derivatives and repurchase agreements, both local and foreign, specifically regarding the new bankruptcy law, netting and the implications of the Dodd Frank Act and the European Market Infrastructure Regulation (EMIR) on Chilean entities with and without operations in the United States and Europe. Our clients’ counterparties–over 50 local and foreign banks–recognize our attorneys as experts in derivatives negotiations, specifically regarding ISDA agreements and schedules, credit support annexes (CSA) and confirmations, global master repurchase agreements (GMRA) and general condition contracts for derivatives on the local market.

Insolvency, Bankruptcy and Reestructring

Ried Fabres has extensive experience in insolvency cases, settlements, reorganization agreements and restructurings. We have represented in court and acted as counsel to debtors, creditors and other participants, in such diverse areas as construction, information services, air transportation, financial institutions and retail.

The bill proposes creating a specific criminal offence for the illicit trafficking of hydrobiological resources by incorporating a new Article 139 quater into the General Fisheries and Aquaculture Act. The initiative seeks to prosecute the chain of extraction, transportation, storage, false documentation, commercialization and market introduction of illegally sourced resources, and adds this offence to Law No. 20,393.

The Superintendence of Pensions issued Exempt Resolution No. 842, dated June 15, 2026, approving the internal procedure for the formation of new Pension Fund Administrators (AFPs). The act formalizes the stages of analysis, authorization of existence, and approval of operation, in accordance with Decree Law No. 3,500, as amended by Law No. 21,735. The procedure establishes deadlines, responsible parties, and controls for each phase of the incorporation process.

Ministerial Order No. 2/2026, issued by the Ministry of National Assets, establishes the criteria and a unified framework for the administration and disposal of government-owned real estate in Chile. It consolidates the rules applicable to the various mechanisms for managing government property—sale, concession, lease, designation, easement, and regularization—by establishing framework definitions, limiting administrative discretion, and prioritizing public bidding as the standard procedure.

Through General Rule No. 567 (NCG No. 567), the CMF established a consolidated regulatory framework aimed at modernizing the regulatory regime applicable to savings and credit cooperatives by bringing together in a single regulatory instrument both the rules already in force—previously scattered across various circulars—and the new provisions arising from the powers granted to the CMF under the Financial Resilience Law in this area.

The CMF published on June 1, 2026, two regulatory proposals that establish new reporting obligations for securities intermediaries and commodity exchange brokers, defining the information they must periodically submit to the CMF for prudential supervision purposes. Among other matters, they regulate the submission of information to determine business volume tier classification and to oversee compliance with the capital, guarantees, liquidity, and indebtedness requirements set forth in NCG 562.
